1. Scope

These terms govern the use of the Order And Load platform (website, dashboard and driver app). The platform is operated by the company whose details are given in the imprint (the "operator").

The platform is for business users only: shipper, carrier and broker companies and their employees. No consumer contracts are concluded through the platform.

2. Role of the platform: intermediary, not a party to the transport contract

Order And Load is an online freight exchange that connects shippers with carriers. The transport contract is concluded solely between the company that posted the load and the company whose offer is accepted.

The operator is not a party to this contract or to the contract of carriage under the CMR Convention; it does not act as carrier, sender, consignee, broker or freight forwarder. It does not take over, transport or insure goods, does not collect freight charges and does not handle payments.

All rights and obligations relating to performance of the transport, delay, damage, loss, customs procedures and payment exist between the parties. The order record, documents and location data on the platform are provided to assist the parties; they do not replace the CMR consignment note or any other transport document.

3. Account and company

The person registering confirms that the information provided is accurate and that they are authorised to represent their company. Company details may be reviewed for verification; the activities of an unverified company may be restricted.

Login details are personal and must not be shared. The company admin invites employees and sets their roles and permissions. The company is responsible for its employees' actions on the platform.

4. User responsibilities

Carriers and brokers are themselves responsible for holding the authorisations, licences, vehicle and driver documents and valid carrier's liability insurance required for their work.

Shippers guarantee that the goods are lawful, correctly described (for example weight, dimensions, ADR class, temperature) and that the necessary customs and commercial documents are ready.

The operator may review uploaded documents but does not guarantee the accuracy of documents or user statements. You must carry out your own checks before choosing a counterparty.

5. Loads, offers and negotiation

The amounts of offers submitted on loads and tenders are visible only to the poster. Bidders see only their own ranking. This rule is applied deliberately to prevent a race to the bottom on prices.

When the poster accepts an offer, a binding agreement is concluded between the two companies and the platform records it as an order.

Requests for partial load space have no automatic pricing or ranking. Negotiation takes place only between the two parties through offers and counteroffers; an agreement is concluded when both parties confirm. The price in the listing is for reference only.

6. Ratings

After a completed job, the parties may rate each other. To prevent retaliatory ratings, scores remain hidden until both parties have submitted their rating.

A rating must be based on a real job and be honest and relevant. Payment performance is kept separate from the score and is based on facts (payment terms, payment date).

7. Messages and translation

Messages are stored in the language in which they were written; in a dispute, the original text prevails. Automatic translation, when enabled, is for assistance only and may contain errors.

8. Prohibited content and conduct

The following are prohibited: false or misleading load or company information; acting on behalf of others; illegal goods, goods subject to embargo or sanctions, or misdeclared dangerous goods; harassment, insults and discrimination; unsolicited bulk messages; automated data collection from the platform; uploading malicious files; sharing other people's personal data without permission; attempting to circumvent the platform's security.

9. Suspension and termination

In the event of a breach of these terms, suspected fraud, forged documents or a legal requirement, the operator may remove a listing, temporarily suspend a user or company, or close the account. Where possible, the reason is given in writing and an opportunity to object is provided.

Users can delete their account at any time under My company > My account.

10. Paid services

If a paid service is offered, its price and terms are shown clearly before purchase. A subscription can be cancelled in one step, and the fee for the unused period is refunded.

11. Limitation of liability

The platform is provided as is; uninterrupted and error free operation is not guaranteed. The operator is not liable for damage arising from contracts between users, from user content or from transport. Liability for intent and gross negligence and any liability that cannot be limited by law remain unaffected.

12. Changes and governing law

If the terms change, users will be informed before the changes take effect.

The governing law and place of jurisdiction will be determined according to where the operating company is established and added to this section.
